1. Acceptance of Terms

By accessing or using ShelfLyf ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform.

2. Description of Service

ShelfLyf is an FMCG shelf life management platform that helps manufacturers manage expiring inventory through spoilage alerts, liquidation to partners, and CSR donations. The Platform facilitates connections, negotiations, and transactions between manufacturers and liquidation partners.

3. User Accounts

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must promptly notify us of any unauthorised access to your account
  • One organisation may have multiple user accounts with different roles and permissions

4. Acceptable Use

You agree not to:

  • Use the Platform for any illegal or unauthorised purpose
  • Upload false, misleading, or fraudulent product or inventory data
  • Interfere with or disrupt the Platform's infrastructure
  • Attempt to access other users' accounts or data without authorisation
  • Use automated tools to scrape or extract data from the Platform

5. Transactions

ShelfLyf facilitates connections and negotiations between manufacturers and partners. We are not a party to transactions between users. Users are solely responsible for the terms, quality, and fulfilment of their agreements.

6. Intellectual Property

The Platform, including its design, features, and content, is owned by ShelfLyf. You retain ownership of the data you upload. By using the Platform, you grant us a licence to process your data as needed to provide our services.

7. Data Confidentiality & Encryption

ShelfLyf operates a zero-knowledge encryption model for sensitive business data. Pricing, deal terms, bids, negotiations, invoices, inventory and PII are encrypted with AES-256-GCM using a Data Encryption Key unique to your organisation, with keys wrapped by Google Cloud KMS hardware security modules.

As a representation forming part of these Terms, ShelfLyf staff cannot read your encrypted business data, and one organisation's data cannot be decrypted by another organisation on the Platform. Access to your organisation's key is gated by request-scoped access controls; cryptographic erasure is performed on account deletion. Full details are set out in our Privacy Policy and Security page, which are incorporated into these Terms by reference.

8. Limitation of Liability

ShelfLyf is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential damages arising from the use of the Platform, including losses from transactions between users.

9. Termination

We may suspend or terminate your account if you violate these Terms. You may close your account at any time by contacting support. Upon termination, your right to use the Platform ceases immediately.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
